The 2020 NASSP Members Assembly will be held virtually this year via Zoom on July 8, 2020, at 1:00 p.m. (ET). The agenda will consist of two business items on which members will vote:

  1. NASSP Board Nominations. Members will vote to accept or reject a full slate of candidates to join the NASSP Board of Directors effective August 1, 2020. NASSP will present the slate at the July 8 Members Assembly. Information about candidates for board nomination will be available through June 22, 2020, at nassp.org/candidates.
  2. Amendment to the Association’s Articles of Incorporation. Members will vote to accept or reject the following resolution:

Whereas, the board of directors of the National Association of Secondary School Principals wishes to recommend to the membership of the Association an amendment to the Articles of Incorporation to allow members of the board of directors to be elected by the board;

Now therefore, be it resolved, the board of directors approves an amendment of the Association’s Articles of Incorporation by replacing existing Article Sixth…

The board of directors shall be elected by the Active Members of the corporation at the Annual Meeting thereof, and the manner of such election and the filling of vacancies on the board shall be provided by the bylaws.

with the following language:

The board of directors shall elect its successors and the manner of such election and the filling of vacancies on the Board shall be provided by the bylaws.

The NASSP Board of Directors recommends that members vote in favor of the above resolution, as it will allow the newly revised bylaws to take full effect. The board recently approved a bylaws revision– pending amendment of the Articles of Incorporation–to modernize NASSP governance. The new bylaws reflect recommendations from two years of work by the Bylaws Review Advisory Committee, which consists of NASSP members who serve or have recently served as board members and state coordinators. The work was guided by NASSP counsel as well as a consultant who specializes in association governance.
